The “urgent liquidation” or “alternative liquidation” can be carried out within the minimum period (3-4 business days). It is a process of withdrawal of existing members from the NGO, the enlistment of two new members, who will formally stay there for some time, the dismissal of the collective management body and the appointment of a new sole director.
The exact price, nuances and minimal terms of the NGO liquidation shall be determined for each particular case.
At other options the NGO liquidation in practice takes about a year, and even more.
Answers to frequently asked questions
Is “alternative” liquidation legal?
In practice, it looks like this: current members of the organization write applications for withdrawal, because joining and withdrawing from members of Non-Governmental Organizations is free. At the same time, several people write applications for joining the NGO, and they are accepted as members of the organization.
The decision on the change of management is made at the general meeting. The minutes of the general meeting shall be submitted to the Ministry of Justice. In a few business days, information about the new directors appears in the Unified State Register.
And how to deal with the founding members of NGO in case of the “alternative liquidation”?
Everything which is not forbidden is allowed. The law does not prohibit withdrawing from the founding members of the NGO, there is simply no regulated mechanism for withdrawal, just as, for example, in charitable organizations.
The procedure and period of the NGO dissolution in Ukraine
We can offer several options for the NGO liquidation. The period and price will depend on the agreed option we’ll use to achieve your final goal.
Provision of the service can begin with a consultation, where we will choose the most suitable plan of action for you. Before we start work, we sign a service agreement with the Client.
After paying for the service, the lawyers begin drafting documents. At this stage our lawyers may need to interact with the Client’s accountant (if necessary and stipulated in the agreement).
Upon completion of the services rendering, the NGO ceases operation (in case of the “alternative liquidation”, the management is transferred to persons who are not related to the Client).
In a nutshell, the whole procedure of the NGO liquidation with the status of a legal entity by the decision of its members will comprise the following stages:
-
Making a decision on the NGO (self-dissolution). Such decision shall be made at the general meeting of members and recorded in the Minutes;
-
Submission of the documents to the appropriate Department of Justice;
-
The work of the liquidation commission / liquidator. It is a complex of actions, which includes, for example, closing the accounts of the legal entity, an inventory of its property, dismissal of employees, etc. As a result, you get the Act of the liquidation commission, which specifies a list of the conducted actions and the resulting documents;
-
Submission of documents to the tax authorities, passing the tax audit and de-registration;
-
Submission of the registration and primary accounting documents to the state archive;
-
Submission of the final package of documents on the termination of a legal entity to the state registrar (Department of Justice).
